Assistant Company Secretary - General Council Office
Location: Northampton - Lodge Farm

We are looking to recruit an Assistant Company Secretary to join an established, busy team.  You will work closely with the Deputy Company Secretary and other members of the team to promote good corporate governance practice, ensure compliance with laws, regulation and Group governance policies and deliver efficient administration of the Group’s legal entities and share schemes.  In addition this role will provide support and advice on corporate governance, statutory regulation and the company law matters. Key Accountabilities
  • Statutory compliance - Maintain statutory records for Group entities (Blueprint), ensuring all records are up to date and accurate and relevant filings are made at Companies House in a timely manner.  Review and develop statutory compliance processes and procedures to reflect best practice and improve efficiency.
  • PLC listed company compliance - Support with the organisation of the AGM and the preparation of the Annual Report and ensuring compliance with Listing, Disclosure and Transparency Rules.  Support the delivery of services to shareholders including dividends, maintaining the corporate website and resolving shareholder enquiries, liaising with external service providers as required. Drafting and release of regulatory announcements.
  • Governance and board support - Support subsidiary boards, including advising subsidiaries on governance and company law matters, developing and advising on key governance policies, developing and rolling out training for statutory directors and managing conflicts of interest processes.
  • Legal and Regulatory Compliance - Support the development and roll out of legal and regulatory policies, guidance and training across the business. Monitor and report on compliance with Group legal and regulatory policies and support the business to maintain and improve standards of compliance with these policies.
  • Share schemes - Oversee the administration of share schemes and develop share scheme processes and procedures to reflect best practice and improve efficiency.
  • Ensure continuous improvement in the delivery and communication of share schemes, ensuring available technology is fully utilised.
  • Develop relationships with external suppliers, monitor performance and hold suppliers accountable for any issues. 
  • Horizon Scanning - Monitor developments in share schemes, company law and governance and identify threats and opportunities.  Work with the Cosec team and cross functionally to develop and implement solutions to ensure the Group meets new requirements as a result of changes in laws, regulation and best practice. 
  • Restructuring, liquidations - Support on projects, carry out due diligence, liaise with cross-functional teams and advise on company law and governance matters.  Drive the subsidiary company rationalisation programme.
  • Projects - Assist and lead on projects as required including Cosec, legal and cross-functional business projects.
Your excellent verbal & written communication skills and excellent attention to detail are key requirements for this role.

Along with the above, you’ll also need:
  • To hold an ICSA qualification or equivalent
  • Listed company experience
  • Strong proven technical and analytical skills
  • To deliver complex messages in a simple and creative way
  • Strong project management, planning and organisational skills
  • Excellent attention to detail 
  • A tenacious and persistent approach with a focus on developing yourself and others
  • The ability to prioritise and multitask
