We are looking to recruit a Company Secretarial Assistant to join an established, busy team. You will work closely with the Assistant Secretary to promote good corporate governance practice, ensure compliance with laws, regulation and Group policies and deliver efficient administration of the Group’s legal entities and share schemes. This is a fantastic opportunity if you are looking for an interesting and varied role. 


Key Accountabilities

- Maintain statutory records for Group entities using online legal entity system (Blueprint), ensuring all records are up to date and accurate and relevant.

- Assist with the administration of the Group’s all-employee and executive share schemes including: launches, maturities and vesting, processing option requests, drafting and issuing stock exchange and FCA announcements in compliance with the Listing Rules, tracking and following up actions from team and supplier meetings and investigating/resolving colleague queries.

- Support the delivery of services to shareholders including dividend payments, shareholder enquiries and the AGM, liaising with colleagues and external service providers as required

- Support the Group’s statutory entities to deliver compliance with their obligations 

- Keep up to date with developments in share schemes, company law and governance and work with the Cosec team to implement any changes required

- Maintain and develop the Cosec procedures manuals 

- Respond to information requests from across the business and build database of useful statutory and share schemes information

- Assist with project work including specific Cosec projects (e.g. upgrading systems) and  business projects (e.g. transactions including acquisitions, disposals and re-financings) 


Your excellent verbal & written communication skills and excellent attention to detail are key requirements for this role.


Along with the above, you’ll also need:

-Grad ICSA

- Proven company secretarial experience

- Excellent attention to detail 

- Strong ability at being able to prioritise and multitask
